權責：目的是定義與管理制度有關的相關作業流程的作業負責人，也就是定義「制度寫什麼? 誰寫? 20080001」提到的Work Owner，以及，各個Work Owners在作業之間的部門角色內部控制相互制衡，常聽到的英文 Checks and Balances。我的心得是，管理制度裡面的跨部門工作權責一旦確立之後，這份制度建立的程度通常已經完成了90%；各部門就好像人體的各個內臟器官，作業流程就是血液與血管，體內器官功能是個自明確的( 部門權責 )，血液順著血管照著器官之間應有的順序流動，才能維持身體健康。
曾經有人提出，「工作權責很難界定，把所有工作都系統化就好了。」；我請他為下列問題選一個答案：
我們公司的財務報表是電腦系統自動編出來的，那麼，您覺得財務報表內容的適當性是誰的責任? 也就是說，被選出來的那個答案的最高主管，必須在我們公司的財務報表上面簽章以示負責。

電腦系統的責任、(2)電腦系統廠商的責任、(3)負責定義公司電腦系統環境的資訊部的責任、(4)負責公司內部導入系統的員工，PM的責任、(5)會計部、(6)其他意想不到的答案。

核決權限：目的在說明某個作業或行為是需要經過特定層級的主管核准後才能執行。
作業KPI：目的在定義應該達到的工作效率及效果。
例外情形處理：例外應該是規則的少數。目的在定義例外狀況下被允許的處理方式。
作業風險及內部控制重點：目的在提醒制度使用者作業管理重點或預防事項，或者，如果沒有遵行制度會發生可能的狀況。
頁尾.提案與核准：目的在記錄管理制度核准記錄；有些公司會規定「管理制度」與「作業流程」有從屬關係，因此，在董事會同意前，「管理制度」為部門副總經理提案/總裁核准、「作業流程」由部門經理提案/部門副總經理核准即可。
